EU Inc: What Does the EU's New Company Form Mean for Swedish Freelancers?

On March 18, 2026, the European Commission presented a proposal for an entirely new European company form: EU Inc. The proposal means that anyone in the EU can start a company digitally, within 48 hours, for under EUR 100 and with no minimum share capital requirement.

Does this make umbrella employment obsolete? Not quite. Here, Paidin explains what EU Inc. actually entails and what it means if you currently invoice without your own company in Sweden.

What is EU Inc.?

EU Inc. is an optional company form valid across all 27 EU member states. It does not replace Swedish limited companies (aktiebolag) or sole proprietorships (enskild firma), but is an additional option. The key features of the European Commission's proposal:

  • 48-hour registration, fully digital
  • Under EUR 100 in registration costs
  • No minimum share capital (unlike Swedish limited companies which require SEK 25,000)
  • Valid across the entire EU without separate registration per country
  • "Once-only" principle: submit your information once, valid everywhere

The proposal requires approval by the European Parliament and the Council of the EU before becoming law. The Commission aims for a decision by the end of 2026.

Starting a Company Gets Easier, but Running One Does Not

Registering a company is already relatively straightforward in Sweden. What makes being self-employed complicated is everything that comes after registration:

  • VAT: Registration with the Swedish Tax Agency, ongoing calculations, quarterly or monthly VAT returns
  • Employer contributions and tax: Monthly employer declarations (AGI) to the Swedish Tax Agency
  • Bookkeeping: Ongoing accounting per Swedish bookkeeping law, annual financial statements
  • F-tax: Application, preliminary tax payments, final tax settlement
  • Insurance: Accident insurance, liability insurance, health insurance

EU Inc. solves none of this. The company form makes it easier to create a business entity, but not to fill it with functioning administration. A freelancer who wants to focus on their assignments rather than bookkeeping and tax returns faces the same challenge.

What Does This Mean for You If You Invoice Through Paidin?
