EU Inc: What Does the EU's New Company Form Mean for Swedish Freelancers?

On March 18, 2026, the European Commission presented a proposal for an entirely new European company form: EU Inc. The proposal means that anyone in the EU can start a company digitally, within 48 hours, for under EUR 100 and with no minimum share capital requirement.

Does this make umbrella employment obsolete? Not quite. Here, Paidin explains what EU Inc. actually entails and what it means if you currently invoice without your own company in Sweden.

What is EU Inc.?

EU Inc. is an optional company form valid across all 27 EU member states. It does not replace Swedish limited companies (aktiebolag) or sole proprietorships (enskild firma), but is an additional option. The key features of the European Commission's proposal:

  • 48-hour registration, fully digital
  • Under EUR 100 in registration costs
  • No minimum share capital (unlike Swedish limited companies which require SEK 25,000)
  • Valid across the entire EU without separate registration per country
  • "Once-only" principle: submit your information once, valid everywhere

The European Commission expects 300,000 EU Inc. companies to be established within ten years, employing approximately 1.6 million people.

Where Does the Proposal Stand Now?

The proposal is not law yet. It is being handled in parallel by the European Parliament and the Council of the European Union, which must agree on a final text. EU leaders have endorsed the "One Europe, One Market" agenda and called for adoption before the end of 2026. Once adopted, an application period follows before an EU Inc. can actually be registered.

The proposal is not uncontroversial. Trade union research bodies, including the European Trade Union Institute, have argued that a common company form risks undermining national rules on worker participation and collective rights. Objections of that kind tend to lengthen the process. Do not count on EU Inc. being available any time soon.

Starting a Company Gets Easier, but Running One Does Not

Registering a company is already relatively straightforward in Sweden. What makes being self-employed complicated is everything that comes after registration:

  • VAT: Registration with the Swedish Tax Agency, ongoing calculations, quarterly or monthly VAT returns
  • Employer contributions and tax: Monthly employer declarations (AGI) to the Swedish Tax Agency
  • Bookkeeping: Ongoing accounting per Swedish bookkeeping law, annual financial statements
  • F-tax: Application, preliminary tax payments, final tax settlement
  • Insurance: Accident insurance, liability insurance, health insurance

EU Inc. solves none of this. The company form makes it easier to create a business entity, but not to fill it with functioning administration. Furthermore, employment law is governed by the country where the work is performed, and taxes follow national legislation. An EU Inc. company does not exempt you from Swedish regulations if you work in Sweden. A freelancer who wants to focus on their assignments rather than bookkeeping and tax returns faces the same challenge.

Does an EU Inc. Exempt Me from National Tax Rules?

No. This is the most common misconception about the proposal, so it deserves a clear answer.

EU Inc. harmonises company law, meaning how a company is formed, registered and dissolved. The proposal does not touch corporate tax, VAT, employer contributions or social security. Those areas remain national.

In practice:

  • Tax residence follows where the company is actually managed, not where it is registered. If you live and work in Sweden, the business is taxed in Sweden.
  • VAT is reported in the country where the supply takes place, under the normal EU rules.
  • Social security is governed by the EU coordination rules, not by the company form. If you work in a country, you belong to that country's system.
  • Paying out salary requires registration as an employer in the right country, with the reporting duties that apply there.

So an EU Inc. makes it faster and cheaper to create a legal entity. It does nothing about the ongoing obligations, and that is where the time goes.

The same applies if you move abroad and keep your Swedish clients. The company form does not settle where you are tax resident or which country's social security system you belong to.

What Does This Mean for You If You Invoice Through Paidin?

However, EU Inc. could create new opportunities:

  • International assignments: If you as a freelancer want to take on assignments in other EU countries, EU Inc. combined with a Swedish umbrella employment partner like Paidin could simplify the structure
  • European clients: Companies in other EU countries that hire Swedish freelancers get a simpler way to formalize their collaboration
  • Lower threshold: EU Inc. could make it easier for young entrepreneurs to test business ideas, with Paidin as a complement for invoicing and payroll

Summary

EU Inc. is a step towards a simpler single market in the EU. For Swedish freelancers who already invoice through Paidin, nothing changes.
